Make sure you've searched for live CD distros before thinking that you need to roll your own. Whatever features you're looking for probably exist in some capacity. Just do some searching before taking on the task. Also, don't be afraid to use Redhat for building a distro off of. They are a large corporation, yes, but they're under the restrictions of the GPL just like the rest of us.
