FWIW, I've had the same problem modem->modem 
on a terminal server long before going digital.
what will happen in cases like this is that 
IMMEDIATELY after getting a connection and sending 
the connection message to the PC and/or term server,
the modems will retrain to a lower rate,
and this takes just long enough for a windows PC to
declare that the connection is dead.

Another trick that may make this work for you is to 
dial the phone number as "4045551212,,,,"
SHOULD give the same effect.
