The former sounds like you want to configure an incoming PPP session. 
Haven't done that myself, but instructions are in
/usr/doc/HOWTO/PPP-HOWTO.gz.  The latter just involves setting up a
getty process on the serial port to which the modem is connected. 
Anyone dialing in will get a log-in prompt.  See the man page for
inittab, and look at /usr/doc/HOWTO/Serial-HOWTO.gz.

If you've already looked at these and are still having problems, please
post again and we'll work through the modem setup.
