ISP EQUIPMENT SALE

The equipment listed below is for sales or assumption of lease.  The
equipment was installed in May 1997 and deinstalled January 1998.  Since
that date the equipment has been proper stored and ready for a new
buyer.

The equipment is covered by the Ascend Communication’s New Equipment
Warranty.  The equipment was purchased new and installed  by Ascend.
The 48 digital modem card has been upgraded to the Flex 56k V.90
standard.

The decision to deinstall the equipment was the result of closing our
acess business.  We were a franchised ISP operating under the name of
First Internet Alliance of Denver.

The owner is open to assumption of lease for $1,345.21 including sales
tax with 28 payments remaining, a new lease with the owner or leasing
company or an outright purchase.
