In the off chance you want to do this under Windows, dbPowerAmp converter does a real nice job and its free for most codecs. I use to use it to resample and convert my MP3s to WMA for long trips before I got my iPod, http://www.dbpoweramp.com/dmc.htm On linux you probably want to look at something like SOX, http://sox.sourceforge.net/ which looks like it can convert, filter, etc. at the same time.
