In the off chance you want to do this under Windows, dbPowerAmp 
converter does a real nice job and its free for most codecs. I use to 
use it to resample and convert my MP3s to WMA for long trips before I

On linux you probably want to look at something like SOX, 
http://sox.sourceforge.net/ which looks like it can convert, filter, 
etc. at the same time.

I don't know about SOX, but dbPowerAmp takes a long time to do the 
mp3->wma conversion even on a fast machine.
